Terms of Service
Standard Operating Terms
These Terms govern the provision of security services by AlphaShield Global ("ASG"). By engaging our services, the Client agrees to be bound by these conditions.
1. Scope of Services
ASG agrees to provide security personnel, consultancy, or electronic security solutions as detailed in the specific Client Contract or Service Level Agreement (SLA). ASG personnel operate under the laws of Kenya and the regulations of the Private Security Regulation Authority (PSRA).
2. Use of Force & Rules of Engagement
ASG personnel are trained in the proportionate use of force. Force is used strictly:
- In self-defense or defense of others against imminent threat of death or serious injury.
- As a last resort when de-escalation fails.
- In strict compliance with Kenyan Law and the International Code of Conduct (ICoC) principles.
3. Client Obligations
The Client agrees to:
- Provide a safe working environment for ASG personnel (excluding the specific threats ASG is hired to mitigate).
- Disclose all known threats, intelligence, or risks relevant to the assignment.
- Not request ASG personnel to undertake illegal, unethical, or out-of-scope activities (e.g., domestic chores for guards).
4. Liability & Indemnity
While ASG exercises maximum professional due diligence:
- Limitation of Liability: ASG is not an insurer. Liability for negligence is limited to the terms specified in the commercial contract, typically capped at a multiple of the monthly service fee.
- Force Majeure: ASG is not liable for service failure due to acts of God, war, terrorism, civil unrest, or other events beyond our reasonable control.
- Indemnity: The Client indemnifies ASG against claims arising from the Client's own negligence or breach of law.
5. Payment Terms
- Invoices are due within 30 days of receipt unless otherwise agreed.
- Late payments may attract interest at prevailing bank rates.
- ASG reserves the right to suspend services for non-payment after a formal 7-day notice period.
6. Confidentiality
Both parties agree to treat all operational plans, staffing details, and site vulnerabilities as strictly confidential. This obligation survives the termination of this agreement.
7. Governing Law & Dispute Resolution
These terms are governed by the Laws of Kenya. Disputes shall be resolved firstly through amicable negotiation, followed by arbitration in Nairobi under the Chartered Institute of Arbitrators rules.
